Online Sales Terms

Version 1.2 | 28 October 2026

1 Company and scope

BazaarParts.com is operated by Al Bassil General Trading LLC, Dubai, United Arab Emirates. In these Terms, “BazaarParts”, “we”, “us” and “our” refer to that company.

Office address: Business Central Towers, Al Safouh Second, 1407B, Dubai, UAE.

Customer service: cs@bazaarparts.com | +971 443-96-241.

Trade licence number: 1188147. Licensing authority: Department of Economic Development. Commercial register number: 1983727. UAE VAT TRN: 104089051700003.

These Terms govern online orders placed through BazaarParts.com where incorporated into the order. Individually negotiated transactions outside the website are not automatically governed by these Terms; their application must be separately agreed.

The platform is oriented towards industrial procurement by businesses. This positioning does not exclude any mandatory protections applicable to a particular buyer or transaction.

An RFQ or PartFinder search is not itself an accepted purchase order, stock reservation or confirmation of price, availability, compatibility or delivery time. A catalogue entry or search match must not be treated as confirmation that stock has been allocated to the buyer.

Contract documents and priority

The contract comprises the order-specific terms mutually agreed in writing, these Terms as incorporated into the order, and any other documents expressly incorporated by agreement.

In the event of an actual inconsistency, expressly agreed order-specific terms prevail over these Terms, and these Terms prevail over general summaries in Shipping & Returns. An order-specific departure applies only to the subject expressly addressed; the remaining provisions continue to apply.

Product descriptions, specifications and material disclosures forming part of the agreed order remain binding. This priority clause does not authorise an undisclosed substitution or unilateral change to the agreed goods, price or dispatch terms.

Terms appearing in the buyer’s purchase order, procurement portal, acknowledgement or other document do not apply merely because BazaarParts receives that document, references its number or processes the order. Any acceptance of such terms must be express and in writing by an authorised BazaarParts representative.

The version of these Terms made available and accepted when the buyer submitted the order applies to that order, unless a different version or amendment is subsequently expressly agreed. Later website updates do not automatically amend an existing contract.

Mandatory law prevails over any inconsistent contractual provision.

Written communications and notices

Routine contractual communications may be made by email using the contact details specified in the order or subsequently notified through a reasonably verified communication.

The buyer must provide accurate contact details and promptly notify BazaarParts of changes. A request to change payment instructions, the recipient of a refund or an authorised contact may require verification.

Where a contractual period runs from receipt of a notice, receipt shall be established under applicable law using reliable evidence. Such evidence may include an acknowledgement, a substantive reply, reliable electronic delivery records or documented courier delivery. A read receipt is not the only permissible evidence.

A copy in the sender’s sent folder does not, by itself, establish receipt. An automated reply does not itself constitute agreement to a proposed change.

If BazaarParts becomes aware that delivery has failed, it may resend the notice to another verified contact or use another legally permissible delivery method. The relevant period will run from receipt established under applicable law.

These provisions do not replace mandatory requirements for formal notices, service of proceedings or notices requiring a particular form or delivery method.

Independent Reseller and Manufacturer References

Unless expressly stated otherwise in the applicable product information or agreed offer, BazaarParts acts as an independent reseller and does not act on behalf of or represent the manufacturer, and is not its authorised dealer or distributor.

BazaarParts’ independent resale activities include surplus-stock and aftermarket supplies. The applicable product condition, manufacturer, specifications and any expressly promised manufacturer packaging, documents or warranty are determined by the agreed product description and order terms.

Manufacturer names, trademarks, logos and part numbers are used to identify goods or describe their stated compatibility. Their use does not itself establish affiliation, endorsement, authorised-dealer status or a manufacturer warranty.

“Aftermarket” does not itself mean that a product was manufactured by the original equipment manufacturer. Any third-party replacement or compatible product must be identified as such in the applicable product information or offer.

This section does not override an express product description, permit substitution without required consent, or limit BazaarParts’ responsibility for the accuracy of its statements.

2 Order offers acceptance reservation and cancellation

Orders Submitted Through Checkout

By completing the final order-submission step in checkout, whether using an online payment method or Manual Payment, the buyer submits an offer to purchase the identified goods on the order terms disclosed before submission and these Terms & Conditions.

That submission constitutes the buyer’s purchase order for this purpose. No separate purchase-order document or handwritten signature is required, subject to mandatory applicable law.

Neither submission, payment nor an automated acknowledgement by itself constitutes BazaarParts’ acceptance or a stock reservation. A purchase contract is formed when the buyer receives BazaarParts’ express written acceptance in accordance with this section.

The applicable review period and its starting point are determined by the provisions for prepaid online orders or Manual Payment orders, respectively. This paragraph does not change those periods or starting points.

The provisions below concerning payment before acceptance apply to prepaid online orders. Orders submitted using Manual Payment are governed by the “Manual Payment Orders” subsection of this section.

Offer and review

By submitting and paying for an online order, you make an offer to purchase the specified goods on the terms disclosed before payment. You agree to keep that offer open for seven UAE Business Days following our receipt of payment.

“UAE Business Day” means Monday to Friday, excluding official public holidays applicable to our office in the UAE.

An automated acknowledgement or payment receipt does not itself constitute acceptance of your offer or confirmation of stock allocation or reservation. We will expressly accept or reject your offer in writing within the review period. If we do not accept within that period, the offer expires, unless an extension to a specified date has been expressly agreed in writing.

Written acceptance and changes

Written acceptance by our manager will identify the goods, part number, quantity, condition, price and latest dispatch date. Changes to the buyer’s proposed terms require the buyer’s express agreement and will not be imposed through an acceptance notice.

If we reject an order or the offer expires without acceptance, the payment will be refunded in full under Section 7, subject to any legally required restriction on repayment. Alternatively, the full amount may be held as an advance towards another purchase only at the buyer’s express choice. No cancellation compensation or deduction of our bank or payment-processing costs applies in these circumstances.

Availability and reservation

Online payment alone does not create a reservation or confirm current availability. A reservation arises only where our manager expressly confirms the reservation in writing and the required payment is received within the specified period. The confirmation must identify the reserved quantity and reservation period.

Stock may become unavailable before a reservation is established. Buyers should obtain written confirmation of availability, current pricing and applicable charges from our manager before payment. A displayed In Stock status does not itself promise immediate dispatch.

Voluntary cancellation after acceptance

Except where applicable law provides otherwise, voluntary cancellation of an accepted order is not offered solely because the buyer changes its mind, no longer needs the goods, or independently selects an incorrect part number, quantity or incompatible item, where BazaarParts has not provided inaccurate or misleading information.

This also applies to goods procured specifically for the buyer. It does not limit mandatory rights or remedies arising from BazaarParts’ breach, defective or non-conforming goods or other grounds recognised by applicable law. Withdrawal before acceptance is addressed in Section 5; returns after delivery are addressed in Section 12.

Manual Payment Orders

Submission and review period

For orders submitted using Manual Payment, the buyer makes an offer to purchase on the terms disclosed before submission and agrees to keep that offer open for seven UAE Business Days following submission. This period begins on the day following submission, rather than receipt of payment.

“UAE Business Day” means Monday to Friday, excluding official public holidays applicable to BazaarParts’ UAE office.

BazaarParts may accept or reject the offer within that period. Any extension requires the buyer’s express written agreement to a specified revised expiry date. If the offer expires without acceptance, no purchase contract is concluded.

Written acceptance and changes

A binding purchase contract is formed when the buyer receives BazaarParts’ express written acceptance of the buyer’s offer.

An automated acknowledgement or proforma invoice does not, by itself, constitute acceptance unless it expressly states that BazaarParts accepts the order.

Any proposed change to the goods, quantity, condition, price, taxes, additional charges, payment terms or agreed dispatch timeframe requires the buyer’s express agreement. A communication proposing such changes does not constitute acceptance of the original offer.

An expired or withdrawn offer cannot subsequently be accepted so as to bind the buyer without renewed agreement. Withdrawal does not exclude any lawful claim arising from early withdrawal.

Advance payment and payment deadline

Unless expressly agreed otherwise in writing before acceptance, Manual Payment orders require 100% advance payment of the agreed order total, including applicable taxes, carriage and agreed additional charges.

The payment deadline must be disclosed before submission or expressly agreed with the buyer before acceptance.

Once the order is accepted, the buyer must ensure that the full required payment is received in cleared funds by that deadline. A payment instruction, transfer confirmation or remittance advice does not constitute receipt of funds.

Dispatch timing

Unless expressly agreed otherwise in writing before acceptance, the agreed dispatch lead time starts on the day following actual receipt of the full required payment in cleared funds. It does not start when the order is submitted, acknowledged or accepted, or when the buyer initiates payment.

The duration and whether it is expressed in calendar days or working days must be identified in the agreed order terms. Working days for dispatch are calculated using the working calendar of the agreed dispatch location.

Dispatch means handover to the carrier. Carrier transit time is additional unless an arrival deadline is expressly agreed.

Where acceptance precedes payment and a specific latest dispatch date is stated, that date must identify the agreed payment deadline on which it is based.

Withdrawal, cancellation and non-payment

If the buyer withdraws its offer before acceptance and before expiry of the agreed review period, BazaarParts may claim legally recoverable loss actually incurred in reasonable reliance on the offer.

Any such claim must be supported by an itemised calculation and reasonable evidence. It may include demonstrable processing work and necessary external commitments attributable to the offer and its withdrawal, to the extent legally recoverable. Expected profit from the unconcluded sale, avoidable losses and duplicate recovery are excluded.

After acceptance, the buyer has no contractual right to cancel solely because it has changed its mind, no longer requires the goods or has made its own selection error, except where BazaarParts provided incorrect information, these Terms expressly provide otherwise, or mandatory law requires otherwise.

Late payment or a request to cancel does not itself terminate the contract or release the buyer from its obligations. BazaarParts may suspend performance and exercise its contractual and statutory remedies, subject to applicable notice, termination, mitigation and compensation requirements.

Where late payment affects availability or the original dispatch arrangements, any necessary changes to the agreed order terms require the buyer’s express agreement. BazaarParts is not responsible for delay attributable to the buyer’s failure to pay as agreed.

Reservation

Acceptance of an order does not itself confirm a stock reservation. Reservation requires express written confirmation by BazaarParts’ manager and is subject to the stated payment deadline and reservation period.

Nothing in this section excludes mandatory buyer rights or releases BazaarParts from its own obligations under an accepted order.

3 Prices taxes and additional charges

Price corrections before acceptance

If a pricing error is identified before acceptance, BazaarParts may propose a revised price within the applicable review period. Additional payment requires the buyer’s express agreement.

If the buyer declines the revised price, we will reject the original order and refund the payment in full under Section 7. Alternatively, the full sum may be held towards another purchase only at the buyer’s express choice. Refusal of a revised price is not a change-of-mind cancellation and does not attract early-withdrawal compensation.

Prices after acceptance

After an order has been accepted at an agreed price, any price change requires mutual agreement. Refusal to pay a proposed increase does not itself cancel the accepted order or discharge our obligations at the original price. Any legally significant mistake is dealt with under applicable law rather than an automatic right to reprice or cancel.

VAT

UAE VAT will be applied where required by applicable law. The applicable tax treatment depends on the particular supply and is not determined solely by the buyer’s country of registration or billing address.

Before the buyer agrees to any additional payment, BazaarParts will identify the applicable VAT, whether the quoted amount includes VAT, and the total payable. An invoice does not itself authorise an otherwise unagreed increase to an accepted contract price. Any correction will follow applicable law and the order-acceptance and price-change provisions of these Terms.

Export documentation service fee

An export documentation service fee of AED 300, inclusive of any applicable UAE VAT, may apply to certain goods exported from the UAE. Where applicable, BazaarParts will notify the buyer and obtain express written agreement to the fee before accepting the order. This is a BazaarParts service fee, not a tax or government charge.

4 Dispatch periods holidays and transit

For Manual Payment orders, the commencement of the dispatch lead time and the treatment of any stated latest dispatch date are governed by the “Manual Payment Orders” subsection in Section 2. The remaining provisions of this section apply to the extent consistent with that subsection.

For an online payment made without prior written order confirmation, the following periods are sequential: up to seven UAE Business Days after receipt of payment for checking and written acceptance or rejection, followed, after written acceptance, by up to thirty working days for preparation and dispatch.

The dispatch period is additional to the review period. Dispatch working days follow the working calendar at the place of dispatch, excluding the established weekly rest days and official non-working public holidays there. Internal delays, staff shortages or discretionary warehouse closures do not exclude additional days. Holidays already excluded will not be counted twice.

Where a longer lead time is expressly disclosed for the goods before payment, that lead time applies with its stated units and starting point. Any expressly promised shorter dispatch period must be reconciled with the agreed order terms. In Stock indicates availability and does not itself mean immediate dispatch.

Written acceptance will state a specific latest dispatch date. Dispatch is completed by documented physical handover of the goods to the carrier for delivery to the agreed address. Carrier transit is separate. This distinction does not itself determine transfer of transport risk or remove applicable delivery obligations.

The UAE operates reduced working hours during Ramadan. Applicable mandatory labour requirements, including seasonal restrictions on work in direct sunlight or outdoor areas, may affect particular preparation operations. Expected effects will be considered when determining the latest dispatch date. Ramadan is not excluded as a whole from working days and does not automatically extend the agreed period.

If dispatch by the agreed date becomes impossible, BazaarParts will notify the buyer before that date, explain the reason and propose a revised date. For ordinary commercial delays, an extension requires the buyer’s express agreement by email; silence or unilateral notification does not constitute consent. Without agreement, the original deadline remains applicable.

Separate justified suspension mechanisms in Sections 14 and 16 apply according to their stated conditions. A missed dispatch date does not automatically terminate every contract, but mandatory rights to performance, termination, repayment or compensation remain unaffected. The restriction on change-of-mind cancellation does not exclude remedies arising from our breach.

5 Withdrawal before acceptance

This section applies to prepaid online orders. Withdrawal of an unpaid offer submitted using Manual Payment is governed by the “Manual Payment Orders” subsection in Section 2. The USD 100 or 5% compensation formula in this section does not apply to such unpaid Manual Payment offers.

Withdrawal requested by the buyer

If you withdraw your offer before our written acceptance and before the review period expires, you must notify us in writing using the customer-support email address shown on our website, identifying the order.

Subject to applicable law, the agreed compensation for early withdrawal is the greater of (a) USD 100; or (b) 5% of the price of the goods covered by the withdrawal, excluding VAT, delivery charges and separately priced services.

For payment in another currency, the equivalent of the USD 100 amount will be displayed before payment. Withdrawal of an offer already withdrawn will not attract a second charge.

This provision concerns withdrawal before acceptance. Cancellation after acceptance is governed by Section 2.

Basis and adjustment of compensation

The compensation is intended to cover loss reasonably attributable to the early withdrawal, including actual non-refundable payment-processing costs, documented staff time reasonably spent processing the offer, and documented external costs.

It does not include expected profit from a sale that was not concluded. The formula does not create an unconditional minimum entitlement where no recoverable loss has arisen. We will reduce or waive the amount where required by applicable law, including where it exceeds the loss legally recoverable.

Bank and payment-service costs included in this calculation will not be charged again.

Exceptions

No early-withdrawal compensation applies where (a) we reject the offer or cannot fulfil its original terms; (b) you decline a revised price or other revised terms proposed by us; (c) the review period expires without acceptance; (d) withdrawal results from our breach or materially inaccurate information supplied by us; or (e) applicable mandatory law entitles you to withdraw or receive a refund without that deduction.

In these circumstances, we will refund the payment without deducting our bank or payment-processing costs. Alternatively, with your express agreement, the full amount may be retained as an advance towards another purchase.

Calculation deductions and disputes

Where compensation is claimed, we will provide an itemised explanation of the calculation and reasonable supporting evidence, with confidential third-party information redacted where necessary.

A deduction from money held will be made only to the extent permitted by applicable law and the applicable payment-provider rules. A disputed claim does not itself establish a right to deduct it.

We will return the undisputed refundable balance without making it conditional on acceptance of our compensation claim or waiver of mandatory rights. We will not charge an additional amount to your card without separate authorisation.

Nothing in this section excludes mandatory rights or prevents a complaint to a competent authority, a payment dispute, or judicial review.

6 Unused advances and unclaimed refunds

An unused balance does not expire merely because the customer has not responded. Where a refund is due, we will initiate it through the original payment method where available. If additional information is reasonably necessary, we will contact the customer and make reasonable follow-up attempts.

Refund recipients, verification, timing, currency and payment methods are governed by Section 7. Silence does not constitute consent to applying a balance to another purchase.

Where the customer’s breach of a duty to cooperate with a refund causes additional expenditure, we may seek reimbursement of reasonable, necessary, documented and legally recoverable costs. Ordinary refund administration, general overheads and costs caused by our own error are excluded.

Any deduction requires a lawful right of set-off, a valid separate agreement or an enforceable court order. We will provide an itemised explanation and will not withhold an otherwise payable, undisputed balance solely to secure agreement to a disputed charge.

Unclaimed balances will be reviewed individually under applicable law. No automatic forfeiture applies after two or five years. Where appropriate, we may seek judicial directions or deposit the funds through the legally prescribed procedure.

7 Refund timing verification and payment method

Where a refund is due, BazaarParts allows up to seven UAE Business Days for internal processing, verification and initiation, subject to any earlier mandatory deadline under applicable law or binding payment-provider or payment-network rules. The processing period starts when the obligation to refund arises.

“UAE Business Day” means Monday to Friday, excluding official public holidays in the UAE.

Verification and customer cooperation

We may request information or documents reasonably necessary to verify the payer, the claimant’s identity and authority, entitlement to the refund, payment instructions, or compliance with applicable legal and payment-provider requirements.

If the request comes from someone other than the original ordering or payment contact, we may request a signed instruction on company letterhead, confirmation through a verified company email address, or other reasonable evidence of authority. We may also contact or notify the original contact using previously established contact details. Conflicting instructions may require clarification from an authorised representative.

Our verification work forms part of the seven-day processing period. If missing information genuinely prevents lawful and secure processing, we will request it promptly. Subject to mandatory deadlines, the period will be paused while that necessary information remains outstanding and will resume upon receipt of sufficient information. It will not restart automatically.

Routine workload and internal approvals do not extend the processing period. Any separate restriction imposed by applicable law, a competent authority or binding payment-provider requirements applies only to the extent and for the duration required.

Refund recipient and method

Refunds will normally be returned to the original payer through the original payment method. A request from a different contact does not itself authorise payment to that person or to another account.

If the original method cannot receive the refund, we will arrange a verified alternative permitted by applicable law and payment-provider rules, normally to an account held by the original payer. Payment to another recipient requires satisfactory evidence of a valid assignment, legal succession, authorised liquidation arrangements, a binding court order or another legally recognised entitlement.

Refund method and currency

Refunds will normally be processed to the original payer through the original payment method and in the currency of the original payment transaction. This is the currency in which the payment was processed, which may differ from the displayed catalogue currency or the currency of the buyer’s bank account.

Where the original method cannot receive the refund, BazaarParts will arrange a verified alternative permitted by applicable law and payment-provider rules. Any alternative currency and conversion basis require express agreement unless otherwise required by law.

Conversion by the buyer’s bank or payment provider may result in a different amount being credited in the buyer’s account currency. This does not reduce the refund amount due in the original transaction currency or exclude any remedy required by applicable law.

Bank processing and confirmation

The seven-day period concerns initiation by BazaarParts, rather than final credit to your account. Additional processing time depends on the payment provider, card issuer and receiving bank.

We will confirm initiation and provide available tracking details. We will monitor failed or pending refunds and take reasonable steps to resolve them. A delay caused by insufficient funds in our own payment account will not be treated as a delay by your bank.

8 Dispatch delivery terms risk title and insurance

Payment before dispatch or collection

Goods will be released for dispatch or collection only after BazaarParts receives cleared payment of the goods price, carriage charges and other amounts agreed for that release.

Standard delivery terms

Our standard delivery basis is CPT (agreed named place of destination), Incoterms® 2020. BazaarParts arranges and pays for carriage to that destination. The agreed carriage charge is included in the amount payable by the buyer.

The agreed order terms will identify both the named destination and the delivery point at which the goods are handed to the first carrier.

In exceptional cases, FCA or EXW at a specified named place may be used by mutual written agreement between BazaarParts and the buyer before the contract is concluded. BazaarParts is not obliged to accept a request for alternative delivery terms. Any subsequent change requires mutual written agreement.

Customer collection or carriage arranged by the buyer requires an expressly agreed alternative delivery arrangement.

Transfer of transport risk

Under CPT, risk of accidental loss or damage passes to the buyer when the goods identified to the order are physically handed to the first carrier at the agreed delivery point, rather than upon arrival at the destination. BazaarParts’ arrangement or payment of carriage does not itself postpone that transfer.

Creating a shipping label, issuing a tracking number or booking transport does not itself constitute physical handover.

Where FCA or EXW is agreed, delivery and transfer of risk occur in accordance with the specified Incoterms® 2020 rule and named place. Under EXW, risk may pass when the identified goods are placed at the buyer’s disposal at the agreed place, before collection or loading.

Transfer of title

Unless otherwise expressly agreed, title to the identified goods passes upon physical handover to the carrier, buyer or buyer’s authorised representative under the agreed delivery arrangement, provided the goods price has been paid in full.

Under EXW, title and risk may therefore pass at different times. All title provisions remain subject to applicable mandatory property law.

Cargo insurance

Unless expressly included in the agreed order terms or required by applicable law, cargo insurance is not included.

The buyer may request insurance in writing before dispatch. Any insurance arranged by BazaarParts is subject to availability, agreement on the premium, payment and written confirmation of cover before the relevant insured transit begins.

The confirmed cover is subject to the policy’s insured value, scope, exclusions, deductible and claims requirements. A request for insurance alone does not establish cover.

Carrier liability, declared-value services and cargo insurance are not necessarily equivalent. The buyer may arrange its own insurance covering the period from transfer of risk.

Transport claims and compensation

The buyer should inspect the shipment on receipt, record any apparent damage or shortage with the carrier where reasonably possible, preserve the goods and packaging, and notify BazaarParts promptly with available supporting evidence. These requirements do not remove mandatory buyer rights.

BazaarParts will provide reasonable assistance with transport claims. Where the carriage or insurance contract is in our name, we will submit and reasonably pursue an appropriately supported claim, subject to the buyer’s reasonable cooperation.

For transit loss or damage occurring after risk has validly passed to the buyer, and for which BazaarParts has no independent liability, BazaarParts does not guarantee recovery or advance compensation. We will promptly remit compensation actually recovered for the buyer’s loss, without double recovery.

This provision does not limit liability arising from our breach or fault, including inadequate packaging, incorrect goods, failure to follow agreed carriage instructions, failure to arrange confirmed insurance, or failure to preserve or pursue a claim for which we are responsible.

It does not exclude fraud, wilful misconduct, gross negligence, or any liability or buyer remedy that cannot lawfully be excluded. Any refund or compensation independently due from BazaarParts is not conditional on the amount or timing of recovery from a carrier or insurer.

9 Payment storage suspension termination and resale

Receipt of payment and release of goods

Goods will be released for dispatch or collection only after BazaarParts receives cleared funds covering the goods price, carriage charges and other amounts agreed and due for that release.

Payment is received when the funds have been credited to BazaarParts’ designated bank or payment-provider account and are available for use. Initiating a transfer or providing a payment instruction, transfer receipt, SWIFT confirmation or screenshot does not by itself constitute receipt of payment.

If the buyer requests insurance or another addition after paying for the original order, the additional charge, payment deadline and any resulting suspension of dispatch must be agreed in writing. Dispatch may then be held until the corresponding cleared funds are received.

A request to wait does not create an indefinite extension unless BazaarParts expressly agrees.

Readiness notice and free storage

Where goods are ready but dispatch or collection is prevented by the buyer’s failure to make an agreed payment when due, provide necessary instructions or collect as agreed, BazaarParts will issue a written readiness notice.

The notice will identify:

- The order and goods concerned.

- The action and any payment required from the buyer.

- Collection arrangements, where applicable.

- The end of the free-storage period and the date chargeable storage may begin.

- The applicable storage rate or quotation and calculation method.

Three full calendar days of free storage will run from the day after confirmed receipt of the notice, but not before the agreed readiness date and any applicable payment or collection deadline.

The goods must be genuinely ready for the agreed release, subject only to the buyer’s outstanding obligations. Where our collection arrangements or warehouse closure prevent a reasonable opportunity to collect, the free period will be extended accordingly.

Storage charges

After the free-storage period, the buyer will reimburse reasonable, necessary and documented third-party storage costs actually incurred because of its delay, without markup.

The provider may be Aramex, UPS, DHL or another suitable carrier or warehouse operator. Before chargeable storage begins, BazaarParts will disclose the applicable rate or quotation, currency, charging units, billing period, rounding, known minimum charges and applicable taxes under the agreed charging arrangements.

Where the final amount depends on the duration of storage, the disclosed calculation method will apply. BazaarParts will provide an itemised calculation and supporting evidence of the costs charged.

No new or increased rate will apply retrospectively. Material changes to the agreed charging basis require written agreement. Storage at BazaarParts’ own premises requires a separately disclosed and agreed BazaarParts rate.

Exclusions and end of storage charging

Storage charges apply only to periods attributable to the buyer’s delay.

No storage charge applies to delay caused by BazaarParts or its selected carrier or service provider. This includes our time spent quoting or arranging buyer-requested additions following the buyer’s timely cooperation and payment.

For CPT orders, BazaarParts will arrange dispatch once the buyer has fulfilled the agreed obligations. No further dispatch approval will be required unless expressly agreed or necessary information remains outstanding.

Charges attributable to the buyer’s delay cease once the relevant obligations have been fulfilled. Any subsequent delay caused by BazaarParts or its selected provider will not be charged to the buyer.

Following termination, any further storage claim must satisfy the requirements for recoverable losses and expenses below. Termination does not authorise indefinite accumulation of storage charges.

Suspension and lawful retention

Subject to applicable law, BazaarParts may suspend release for unpaid amounts properly due in connection with the goods and may exercise a lawful right of retention, taking account of any legally sufficient security provided.

BazaarParts will provide an itemised explanation of the amounts claimed, take reasonable care of retained goods and take reasonable steps to avoid unnecessary storage costs. A disputed invoice does not by itself establish a lawful right of retention.

Prolonged buyer default and termination

If the buyer’s continuing failure to make an agreed payment when due, provide necessary instructions by the agreed deadline or collect the goods by the agreed collection deadline materially prevents completion of the affected order for thirty calendar days, BazaarParts may issue a final written notice.

The thirty-day period starts on the calendar day immediately following the missed agreed deadline for the relevant obligation and runs only while that default continues materially to prevent completion. If a revised deadline is agreed in writing, the period for that obligation starts on the day following the missed revised deadline.

The three-calendar-day free-storage period is calculated separately and does not extend or shorten this thirty-day period.

The final notice will identify the outstanding obligations, provide an itemised statement of charges, explain the intended termination and possible resale, and allow fourteen further calendar days after receipt to remedy the failure.

If the failure remains unresolved, BazaarParts may elect to terminate the affected order or affected part by a further written notice. The parties expressly agree that termination under this clause may take effect without a prior court judgment or further consent from the buyer, to the extent permitted by applicable law.

Termination is an option available to BazaarParts, rather than an obligation to terminate on a particular date. BazaarParts will nevertheless take reasonable steps to avoid unnecessary losses and expenses.

Termination will not apply solely because an optional addition remains unpaid where the original order can lawfully and reasonably be completed without that addition and without disregarding the buyer’s binding instructions.

Resale and other legal remedies

Following valid termination, BazaarParts may resell goods which it owns and is legally entitled to dispose of, including through a commercially reasonable auction. BazaarParts is not obliged to elect resale.

This clause does not authorise disposal of goods belonging to the buyer or a third party where separate authority or a judicial procedure is legally required.

BazaarParts may instead pursue other available legal remedies, including performance, judicial deposit or court-authorised sale where appropriate.

Non-collection or non-payment does not automatically transfer ownership to BazaarParts or forfeit the buyer’s payments.

Recoverable losses and expenses

To the extent legally recoverable, the buyer shall compensate BazaarParts for losses directly caused by its default, including:

(a) the reasonable shortfall between the original contract price attributable to the affected goods and the gross resale price, calculated on a consistent tax basis;

(b) storage charges properly payable under the agreed storage terms; and

(c) reasonable, necessary and documented expenses of the resale, including third-party auction or platform fees and additional handling or transport.

Resale recoveries, avoided expenditure and other compensation received will be taken into account. The same loss or expense will not be recovered twice.

The price of unperformed additions and costs attributable to BazaarParts’ own breach or fault are excluded.

Agreed compensation for additional resale work

The agreed resale-organisation compensation is 10% of the resale price of the affected goods actually received by BazaarParts, excluding VAT and separately itemised carriage, insurance, customs duties and similar pass-through charges.

It becomes payable only after completion of a lawful resale and receipt of the resale payment. It covers additional internal resale work reasonably undertaken because of the buyer’s material default. The same compensation shall not be charged more than once under overlapping provisions.

Reasonable, necessary and documented external expenses may be claimed separately only where legally recoverable and not already covered by another recovery. Mandatory rules on agreed compensation and judicial adjustment remain applicable.

Contractual set-off and settlement

The parties expressly agree, to the extent permitted by applicable law, that BazaarParts may set off amounts legally payable by the buyer under this section against amounts otherwise refundable to that buyer.

BazaarParts will provide an itemised settlement identifying the payments received, resale proceeds where applicable, losses, expenses, agreed compensation, credits and resulting balance.

Any undisputed refund will be processed under the refund terms and will not automatically be deferred until resale. Compensation contingent on a completed resale does not become payable merely because a resale is planned.

Any legally recoverable shortfall exceeding the buyer’s payments may be claimed separately. Disputed amounts remain subject to resolution by the competent court or agreed dispute-resolution procedure.

Any court-supervised sale, deposit or distribution of proceeds will follow the applicable legal procedure and court directions.

Nothing in this section provides for automatic forfeiture of the buyer’s payments, excludes mandatory buyer rights or overrides applicable requirements governing ownership and disposal of the goods.

Where the conditions and notice requirements of this section have been satisfied, BazaarParts may elect to terminate the affected order by a further written termination notice. Termination takes effect upon receipt of that notice, without a prior court judgment or further buyer consent, to the extent permitted by applicable law.

The agreed thirty-day default period and subsequent fourteen-day remedy period are contractual requirements. They do not delay an independently justified suspension or override mandatory legal prohibitions.

Where the sole breach is failure to provide reasonably necessary compliance information, the general breach provisions in Section 16 do not bypass this procedure.

10 Product condition packaging and documents

Product condition categories

BazaarParts distinguishes the following categories. The category applicable to the goods will be identified in the product information or offer and recorded in the agreed order.

New, factory order

New goods supplied against an order placed with the manufacturer, whether manufactured for that order or supplied from the manufacturer’s available stock, as specified in the agreed offer. This is distinct from goods offered by BazaarParts under the New, warehouse stock category. A particular manufacturing date or maximum age is promised only where expressly agreed.

New, warehouse stock

Unused goods supplied from warehouse inventory. Their storage period may vary and may include extended storage. This category does not itself indicate either recent manufacture or prolonged storage.

The goods may have dust or surface dirt resulting from storage. Original manufacturer packaging may be absent, replaced, soiled or damaged, and original manufacturer documents may be unavailable.

Dust or surface dirt does not itself indicate prior use. This description does not excuse undisclosed material deterioration, contamination affecting safety or functionality, or failure to meet the agreed specifications.

Used

Goods previously operated or used. Their used condition and known material limitations will be expressly disclosed.

Refurbished / reconditioned

Goods that have undergone restoration or reconditioning. Manufacturer refurbishment, certification, specified tests, work performed or remaining service life will be represented only where supported and expressly stated.

Unused condition does not itself establish freedom from storage-related deterioration. Known material deterioration will be disclosed separately. Routine factory testing does not by itself constitute prior operational use.

Information before payment and acceptance

The applicable condition category, known material limitations, agreed contents, packaging and document commitments will be disclosed in the product information or offer made available before payment.

Where a material fact remains unverified, that uncertainty will be identified specifically. A general request to contact us does not replace required disclosure.

Our written acceptance will record the agreed particulars. It may identify serial numbers, batch numbers or other details consistent with the agreed supply. Any material difference from the buyer’s submitted order requires the buyer’s express agreement and will not be imposed through an acceptance notice.

Substitutions and changes of condition

Replacement of new factory-order goods with new warehouse-stock goods requires the buyer’s prior express written consent, including where the proposed replacement has been stored for an extended period.

Replacement of new goods with used or refurbished goods also requires prior express written consent. No other material change of the agreed condition category may be made without that consent.

The proposed change will identify its effect on condition, contents, documents, price, warranty arrangements and dispatch timing, where relevant. Silence does not constitute consent.

Original packaging and manufacturer documents

For goods expressly offered as new warehouse stock, original manufacturer packaging and original manufacturer documents are not guaranteed unless specifically included in the agreed offer.

Any known material absence or discrepancy will be disclosed. This provision does not override an express product description or exclude documents, markings, instructions, accessories or conformity requirements that must be provided under applicable law.

Copies or electronic documents may be supplied only where legally sufficient and consistent with the agreed requirements. BazaarParts will not represent an unverified document as an authentic manufacturer certificate.

The absence or replacement of original packaging does not itself establish prior use. It does not remove the obligation to supply goods matching the agreed condition and specifications.

Transport packaging

The agreed goods price includes ordinary transport packaging suitable for the goods and the agreed transport arrangements.

Additional protection, crating, pallets or buyer-specific packaging may be charged separately where the specification and price are agreed in writing. Essential protection required for safe and lawful carriage will not be omitted because the buyer declines an optional upgrade.

Where separately charged packaging is necessary for the agreed shipment, its cost will be disclosed and agreed before payment. If a new packaging requirement is discovered after acceptance, BazaarParts will explain it and seek agreement on any proposed change.

BazaarParts will not impose an unagreed surcharge or dispatch goods with knowingly inadequate packaging.

Discrepancies discovered after acceptance

If BazaarParts discovers a material discrepancy in condition, contents, packaging or documents after accepting the order, we will suspend dispatch of the affected goods, notify the buyer and explain the available corrective options.

We will seek to fulfil the original agreement or obtain express written agreement to a specified alternative. Any extension beyond the agreed dispatch deadline requires the buyer’s express agreement.

A buyer’s refusal to accept a material departure from the agreed order will not be treated as a change-of-mind cancellation or grounds for cancellation compensation or buyer-delay storage charges.

Where the agreed supply cannot be completed and no alternative is agreed, the affected order will be brought to an end through the applicable contractual or legal procedure, and the refund due will be processed under our refund terms.

Mandatory remedies and any further liability remain unaffected. These condition descriptions do not exclude mandatory warranty, safety or conformity obligations.

11 Warranties and defective or non conforming goods

Manufacturer warranty

For goods sold as New, factory order, BazaarParts will confirm the applicable manufacturer’s warranty in the offer before payment and record it in the agreed order. Confirmation will identify the warranty provider, duration, commencement date, territorial coverage, material exclusions and claim procedure.

A manufacturer’s warranty is not automatically included for New, warehouse stock, Used or Refurbished / reconditioned goods. Any available manufacturer’s warranty will be expressly identified in writing.

If an advertised or agreed manufacturer’s warranty cannot be provided, BazaarParts will notify the buyer and obtain agreement to any proposed change before proceeding. The buyer’s rights arising from that failure remain unaffected.

Manufacturer warranty terms do not reduce any mandatory obligations of BazaarParts as seller.

No additional voluntary BazaarParts warranty

BazaarParts does not provide an additional voluntary commercial warranty of its own.

This does not exclude or restrict liability for defective goods, failure to supply the agreed goods or characteristics, or any warranty, remedy or other obligation imposed by applicable law.

The absence, expiry or rejection of a manufacturer’s warranty does not by itself determine whether the buyer has a valid claim against BazaarParts.

Condition of the goods

Conformity will be assessed against the agreed product category, description, specifications and any specific condition or defect disclosed and accepted before the contract was concluded.

Warehouse storage, previous use or refurbishment does not by itself exclude liability for undisclosed defects or failure to meet the agreed description. Acceptance of a specific disclosed condition does not constitute acceptance of unrelated defects.

Reporting a problem

The buyer should inspect the goods promptly after actual receipt and notify BazaarParts in writing of any suspected defect or non-conformity without delay.

The notification should identify the order, affected goods, part and serial numbers where available, the problem and when it was discovered. The buyer should provide reasonably available supporting material relevant to the issue, such as photographs, videos, fault codes, installation details and operating records.

An initial notification may be submitted before all supporting material is available. BazaarParts may request further information reasonably necessary to assess the claim.

The buyer must observe applicable statutory notification and court-filing periods. This procedure does not shorten mandatory periods or any longer period expressly agreed. Contacting BazaarParts does not itself constitute filing court proceedings.

Preservation inspection and returns

The buyer should take reasonable steps to prevent further damage and preserve the goods and relevant evidence. Unsafe goods must not continue to be operated.

Before returning goods or undertaking non-emergency dismantling or repair, the buyer should contact BazaarParts for reasonable inspection and return arrangements. This does not prevent necessary safety measures or restrict mandatory rights.

Original packaging is not an absolute condition for a valid defect claim. Suitable protective packaging must be used for any return.

BazaarParts will document its assessment and explain the proposed remedy or the reasons for rejecting a claim. Its assessment does not exclude independent expert review or determination by a competent authority or court.

Remedies and costs

Where BazaarParts is responsible under the contract or applicable law, it will provide the applicable remedy, which may include repair, replacement, price reduction, return and refund, or compensation. Mandatory rights concerning the choice of remedy remain unaffected.

BazaarParts will bear reasonable and necessary diagnostic and transport costs for which it is legally responsible. A valid claim against BazaarParts will not be made conditional on prior recovery from a manufacturer, carrier or insurer.

For a manufacturer-only warranty claim, its disclosed cost arrangements apply, subject to mandatory law and any separate responsibility of BazaarParts.

Where the issue is outside BazaarParts’ responsibility and applicable warranty coverage, any chargeable diagnostic, repair or transport service requires disclosure of the proposed charges and the buyer’s agreement before it is commissioned. A “no fault found” result does not automatically authorise a charge.

Disputed expert costs will be allocated by agreement or under the applicable legal procedure.

Nothing in this section excludes mandatory consumer rights, product-safety obligations or liability that cannot lawfully be excluded.

12 Returns and return arrangements

Change-of-mind returns

Except where applicable law provides otherwise, BazaarParts does not offer voluntary returns of goods that conform to the agreed order solely because the buyer changes its mind, no longer needs the goods, or independently selects an incorrect part number, quantity or incompatible item.

This restriction does not apply where the issue results from inaccurate or misleading information, an incorrect recommendation or another breach by BazaarParts. It does not limit statutory cancellation rights, remedies for defective or non-conforming goods, or other mandatory rights.

Cancellation before delivery is governed by the separate order cancellation provisions, subject to applicable law.

Contact before returning goods

Before dispatching a return, the buyer must contact BazaarParts through the customer-service contact details published on our website to arrange the receiving location and delivery procedure.

The initial request should identify the order, goods, reason for return and their current location. Supporting information may be provided subsequently where it is not immediately available.

A return reference or shipping instruction is an administrative arrangement. It does not itself constitute acceptance of liability or approval of a refund. Equally, the absence of a return reference does not by itself invalidate a statutory claim.

Return address and instructions

BazaarParts will provide appropriate written return instructions without undue delay after receiving sufficient information to identify the order and goods and understand the proposed return, within any mandatory period required by applicable law.

Where specialist transport, safety or customs arrangements are necessary, BazaarParts will inform the buyer of the outstanding arrangements and the expected timeframe for providing complete instructions. This process will not be used to obstruct or delay a mandatory remedy.

Instructions will identify:

- The receiving warehouse or other designated location.

- The return reference, where applicable.

- Receiving hours and any delivery appointment requirements.

- Relevant packaging, handling and shipping requirements.

- Required transport or customs documents.

- Arrangements for transport costs.

BazaarParts will not impose an unreasonable return location or use the instruction process to obstruct a lawful remedy.

A change of receiving location after instructions have been issued will be coordinated with the buyer, including responsibility for resulting necessary additional costs.

Unauthorised return locations and misdirected deliveries

BazaarParts’ office and any other location not expressly designated in our written return instructions are not authorised return receiving or storage locations.

The buyer must not send return shipments to such locations without prior written agreement. BazaarParts may refuse delivery there, including palletised, bulky, dirty or otherwise unsuitable consignments, subject to applicable law. Refusal at an unauthorised location does not itself constitute rejection of the buyer’s underlying claim.

Sending goods to an unauthorised location does not by itself establish that BazaarParts received them, accepted the return, admitted a defect or approved a refund.

If a shipment is inadvertently received, signed for or unloaded at an unauthorised location, that receipt does not by itself constitute approval of the return, admission of a defect or agreement to provide a refund. Actual receipt will nevertheless be recorded.

BazaarParts may arrange reasonable and necessary transfer of inadvertently received goods to a suitable receiving or storage facility. We will notify the buyer promptly, explain the proposed arrangements and disclose the estimated additional costs where reasonably ascertainable.

Where reasonably practicable, the buyer will be given an opportunity to arrange prompt collection or redirection before those costs are incurred. Immediate relocation may be arranged where reasonably necessary for safety, access or protection of the goods.

To the extent permitted by applicable law, the buyer must reimburse reasonable, necessary and documented additional handling, transfer and temporary storage costs caused by its failure to follow clearly disclosed, reasonable return instructions, including the requirement to obtain the designated return address before dispatch.

No automatic penalty applies. These charges will not include costs that BazaarParts must bear for a valid defect or non-conformity claim, except for legally recoverable additional costs caused by the buyer’s misdirection.

No charge applies to the extent that the costs were caused or increased by BazaarParts’ incorrect instructions, unreasonable delay or other fault.

BazaarParts will take reasonable care of goods actually in its custody. Neither misdirection nor inadvertent receipt automatically extinguishes mandatory buyer rights.

Packaging and preservation

The buyer must use suitable protective packaging and take reasonable steps to preserve the goods and relevant evidence.

Original manufacturer packaging is not an absolute requirement for a valid defect claim. However, goods must be packed appropriately for their nature, condition and agreed method of transport.

The buyer should retain reasonably available photographs, serial numbers, fault information and shipping records relevant to the claim. The absence of a particular photograph, video or original packaging does not by itself invalidate a statutory claim.

Any alleged additional damage caused during return handling or transport will be assessed on the evidence and under applicable law; it does not automatically extinguish the original claim.

Inspection, remedies and costs

Inspection, available remedies, diagnostic and expert costs, and transport costs are governed by the “Warranties and Defective or Non-Conforming Goods” section and applicable law.

Neither party is automatically responsible for every cost merely because it sent or received the goods.

BazaarParts will document the condition of returned goods and explain its assessment and proposed resolution. Receipt for inspection does not itself establish that a refund is due, and BazaarParts’ assessment does not exclude independent expert review or determination by a competent authority or court.

No chargeable diagnostic, repair or other optional service will be commissioned for the buyer’s account without prior disclosure and agreement, except for legally recoverable necessary measures expressly addressed in this section.

A refund or other mandatory remedy will not be delayed by BazaarParts’ own failure to provide reasonable return arrangements.

Nothing in this section shortens mandatory notification or court-filing periods, makes statutory rights dependent on discretionary approval, or excludes mandatory rights under applicable UAE or foreign law.

13 Limitation of liability

Application

The exclusions and limitations in this section apply to BazaarParts’ contractual liability arising out of or in connection with an order, including liability for delay, non-performance, defective performance and breach of contractual warranty, only to the extent permitted by applicable law.

All provisions of this section are subject to the mandatory exceptions below.

Excluded losses

BazaarParts shall not be liable under the contract for:

a. Loss of profit, revenue, anticipated savings, business, contracts, business opportunities or goodwill.

b. Loss of production, loss of use, equipment or plant downtime, shutdown or interruption of operations.

c. Loss of or corruption of data, or the costs of restoring data.

d. Penalties, liquidated damages, service credits or other compensation payable by the buyer to its customers or other third parties.

e. Indirect or consequential loss or damage.

The exclusions in paragraphs (a) to (d) apply whether the relevant loss is characterised as direct, indirect or consequential and whether or not BazaarParts was informed that it might occur.

These exclusions do not create any liability that would not otherwise exist.

Aggregate contractual liability cap

BazaarParts’ total aggregate contractual liability for damages arising out of or in connection with the affected goods or services shall not exceed 100% of the agreed price paid or payable for those affected goods or services.

For this calculation, the price excludes VAT and separately itemised third-party carriage, insurance, customs duties and similar pass-through charges.

The cap applies collectively to all related claims and events concerning the same affected goods or services, rather than separately to each claim, defect, event or legal argument.

Where a claim concerns only part of an order, the cap is calculated by reference to that affected part. Where several goods or services are genuinely affected, their relevant prices are aggregated.

Mandatory exceptions

Nothing in these Terms excludes or limits:

a. Liability for fraud, fraudulent concealment, wilful misconduct or gross fault, including gross negligence, for which BazaarParts is legally responsible.

b. Liability arising from a harmful act to the extent that its exclusion or limitation is prohibited by applicable law.

c. Liability for death or personal injury to the extent that it cannot lawfully be excluded or limited.

d. Mandatory consumer rights, product-safety obligations, recall duties or other statutory obligations and remedies that cannot lawfully be excluded or limited.

e. Any other liability that applicable law prohibits BazaarParts from excluding or limiting.

The exclusions and liability cap in this section apply to claims for damages. They do not reduce or discharge any obligation to repay money due to the buyer under applicable law or the agreed contract, including any refundable goods price, advance payment, carriage charge, insurance charge or tax amount.

The amount repayable shall be determined under the applicable refund provisions and law, including any lawful deductions or set-off. The damages exclusions and liability cap do not themselves authorise any deduction from a repayment.

A repayment does not itself constitute an award of damages or exhaust the damages cap. No party may recover twice for the same loss.

Coordination with other provisions

This section does not itself create any additional warranty, insurance obligation or right of return.

The agreed provisions concerning product condition, warranties, returns, delivery, transfer of risk and title continue to apply, subject to mandatory law.

A claim for which BazaarParts is legally responsible shall not be made conditional on BazaarParts first obtaining payment from a manufacturer, supplier, carrier or insurer.

Any amount lawfully recovered for the same loss shall be taken into account to prevent double recovery. Each exclusion and limitation operates separately to the extent permitted by applicable law.

14 Force majeure and exceptional circumstances

Qualifying events

Subject to applicable law, BazaarParts shall not be liable for delay or failure to perform an affected contractual obligation to the extent directly caused by an exceptional event beyond its reasonable control, whose occurrence or relevant consequences could not reasonably have been foreseen when the order was accepted and could not reasonably have been avoided or overcome.

Such events may include war or armed hostilities, mandatory government restrictions, newly imposed export or import prohibitions, border or port closures, natural disasters and exceptional transport restrictions.

The occurrence of a listed event does not automatically establish force majeure. Its actual effect on the relevant obligation must be demonstrated.

Ordinary commercial difficulties

Lack of stock, ordinary supplier or carrier delays, increased procurement or transport prices, exchange-rate movements, lack of funds and reduced profitability do not by themselves constitute force majeure.

A supplier’s or carrier’s failure qualifies only to the extent that it results from a qualifying event and BazaarParts could not reasonably avoid or overcome its effect on the order.

A restriction already applicable and reasonably ascertainable when the order was accepted is not, merely by continuing to apply, a new force majeure event.

Notice and supporting information

BazaarParts will notify the buyer in writing without undue delay after becoming aware that a qualifying event materially affects the order.

The notice will identify the affected order and obligations, the event, its practical effect, measures being considered and the expected duration where reasonably ascertainable. BazaarParts will provide reasonably available supporting information and material updates.

Where the event itself prevents communication, notice will be provided when reasonably practicable.

The consequences of delayed notice shall be determined under applicable law, including any additional loss caused by that delay.

Temporary impediments

To the extent legally permissible, performance of the affected obligation may be suspended for the period during which a qualifying event actually prevents performance, together with any objectively necessary period for resumption.

Unaffected obligations remain in force. BazaarParts will take reasonable steps to reduce the consequences and resume performance when reasonably practicable.

BazaarParts is not required by this section to use unlawful routes, breach applicable restrictions or provide goods or services materially different from those agreed.

Material changes to price, goods, delivery arrangements or other agreed terms require written agreement, unless applicable law provides otherwise.

This suspension mechanism does not apply to ordinary commercial delays. Extensions for such delays remain subject to the separately agreed dispatch provisions.

Suspension does not require the buyer to wait indefinitely or exclude any mandatory right to terminate or obtain another remedy.

Final or partial impossibility

Where performance becomes permanently impossible, or applicable law otherwise requires discharge or termination, the affected obligations and corresponding payment obligations shall be dealt with under applicable law.

Where only part of an order is affected, unaffected parts remain enforceable to the extent legally and practically separable. Mandatory rights concerning termination of a wider part or the whole order remain unaffected.

BazaarParts may exercise any available contractual or statutory right to terminate the affected order or part by written notice, subject to applicable law.

Payments and settlement

A qualifying temporary suspension does not by itself cancel the order or automatically require a refund. Payments remain allocated to the order while it validly continues, subject to mandatory rights.

If the order or an affected part is discharged or terminated, BazaarParts will provide an appropriate settlement identifying performance already provided, amounts lawfully due or retained and any balance repayable.

Force majeure does not itself authorise forfeiture of an advance, a cancellation charge or automatic deduction of supplier, banking, storage or other expenses. Any retention, deduction or set-off requires a separate lawful basis.

Any amount repayable will be handled under the agreed refund provisions and applicable law. Credit towards another purchase requires the buyer’s express agreement.

A legal restriction affecting repayment must be observed. BazaarParts will communicate the restriction to the extent legally permitted and pursue lawful repayment arrangements; this section does not authorise circumvention.

Risk transfer and exceptional hardship

This section does not itself alter the separately agreed transfer of risk or title. An event occurring after risk has lawfully passed does not automatically create a refund obligation.

Nothing in this section excludes mandatory rights concerning exceptional circumstances that make performance excessively onerous, or authorises BazaarParts to increase an accepted price unilaterally.

The limitation-of-liability provisions apply only to the extent legally enforceable. This section does not excuse an independent breach by BazaarParts or liability that applicable law prohibits it from excluding.

15 Governing law dispute resolution and contract language

Governing law

These Terms and each order governed by them shall be governed by the applicable federal laws of the United Arab Emirates and the laws of the Emirate of Dubai.

This choice does not exclude mandatory provisions or applicable international treaties that cannot lawfully be displaced by agreement.

Jurisdiction

The courts of the Emirate of Dubai, excluding the DIFC Courts, shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms or any order governed by them, subject to mandatory applicable law.

This does not prevent either party from seeking interim or protective measures, or recognition or enforcement of a judgment, before any other competent court.

Contact concerning disputes

The buyer is encouraged to raise a dispute by email through the customer-service contact details published on our website, identifying the order, the issue and the resolution sought.

Such contact does not establish a mandatory negotiation period, require either party to await a response before taking legal action, or oblige BazaarParts to agree to a settlement.

This section creates no additional contractual deadline for BazaarParts to respond or resolve a dispute. Applicable mandatory duties and separately agreed claim-handling obligations remain unaffected.

Correspondence or negotiations do not by themselves suspend or extend notification, limitation or court-filing periods. Statutory requirements for notices, service of proceedings and mandatory pre-action procedures remain applicable.

Contract language

The English version of these Terms is the reference version for contractual interpretation and shall prevail over translations to the extent permitted by applicable law.

This provision does not displace any mandatory requirement to provide Arabic or other language information or contractual documents, or any mandatory rule concerning interpretation, language priority or the language of proceedings.

Translations required for court or administrative proceedings shall be provided in accordance with the applicable procedural requirements.

16 Sanctions export controls and end use

16.1 Applicable restrictions and buyer confirmations

“Applicable Trade Restrictions” means sanctions, export, re-export, import, transit, end-user and end-use restrictions legally applicable to the relevant transaction, goods or participants.

By placing an order, the buyer confirms that information supplied concerning its identity, ownership, payer, consignee, intermediaries, ultimate end user, destination and intended use is accurate and not misleading. The buyer must disclose material uncertainties and must not conceal relevant participants, destinations or intended uses.

The buyer confirms that the transaction, as disclosed, does not involve prohibited dealings under Applicable Trade Restrictions and will not proceed without legally required authorisations.

The buyer must promptly disclose material changes before further performance and must not directly or indirectly sell, export, re-export, transfer, divert or use the goods in breach of Applicable Trade Restrictions or applicable licence conditions.

16.2 Verification and continuing cooperation

BazaarParts may request information and documents reasonably necessary to assess compliance, including company registration, ownership and beneficial ownership information, signatory authority, payment details, consignee and ultimate end-user information, a signed End User Certificate, intended-use details and relevant permits or licences.

Requests may be made before acceptance or during performance, including where information is incomplete, inconsistent or gives rise to reasonable compliance concerns, or where required by law, a competent authority or applicable requirements of a service provider involved in the transaction.

Providing reasonably necessary information and documents is a contractual obligation of the buyer. A declaration or certificate supplements, and does not replace, BazaarParts’ own compliance assessment.

The seven-business-day acceptance period is not a deadline for completing all compliance verification. Order acceptance, receipt of payment, commencement of procurement or earlier verification does not constitute final compliance clearance or waive the right to request further reasonably necessary information during performance.

A request is not invalid solely because it is made after acceptance or concerns information that could have been requested earlier. This provision does not excuse unreasonable delay or an independent breach by BazaarParts.

16.3 Acceptance period

Before acceptance, compliance verification does not automatically suspend or extend the seven-business-day acceptance period specified in these Terms.

Before that period expires, the parties may expressly agree in writing to extend it to a specified date. A document request, automated acknowledgement or the buyer’s silence does not itself constitute that agreement.

If the order is not accepted within the applicable period, the offer expires. Payment received for the unaccepted order will be refunded in full under the refund provisions, without early-withdrawal compensation or deductions for procurement, verification, banking or payment-processing costs, subject to legally required restrictions on repayment.

After acceptance, the acceptance period no longer applies; the provisions below govern verification during performance.

16.4 Justified suspension

BazaarParts may suspend affected acceptance, procurement, release or dispatch while reasonably necessary verification remains outstanding, where reasonable grounds exist to suspect a prohibited transaction, or where a required legal authorisation remains outstanding.

Affected performance may also be suspended where a bank, payment provider, carrier or insurer involved raises a substantiated compliance concern that prevents the agreed performance.

BazaarParts will communicate the suspension and necessary next steps to the extent legally permitted. The suspension must relate to the identified concern and must not continue indefinitely without a continuing lawful or contractual basis.

To the extent permitted by applicable law, a justified suspension does not constitute delay or breach attributable to BazaarParts and does not itself entitle the buyer to cancel an accepted order, demand an immediate refund or claim delay compensation.

The affected dispatch deadline is extended only to the extent reasonably necessary as a direct result of the justified suspension and resumption of performance. Ordinary commercial delays and delay caused by BazaarParts’ own failure to act reasonably are excluded.

Mandatory buyer rights and the exceptions in the Limitation of Liability section remain unaffected.

16.5 Unresolved concerns without an established material buyer breach

If material concerns remain unresolved after reasonable assessment and BazaarParts cannot reasonably clear the transaction, BazaarParts may reject the order or terminate its unperformed affected part by written notice, to the extent legally permissible.

Where termination does not result from an established material buyer breach, BazaarParts will refund 100% of the payment received for that part, including paid carriage, insurance and refundable tax amounts, without deducting procurement, verification, banking or payment-processing costs.

No additional compensation is payable solely because BazaarParts lawfully exercises this right, subject to mandatory law and the exceptions in the Limitation of Liability section. This does not excuse an independent breach by BazaarParts.

16.6 Material non-cooperation and resale

If the buyer fails or refuses to provide reasonably necessary information within its possession or reasonably obtainable by it, BazaarParts may give written notice identifying the outstanding requirements, a reasonable deadline for compliance and the consequences of continued failure.

A continuing material failure preventing lawful or reasonably verified performance may constitute buyer default. Mere inability to obtain a document is not automatically a material breach; necessity, availability and reasonable cooperation must be considered. A refund request does not itself cancel an accepted order or discharge the cooperation obligation.

Termination solely for such non-cooperation follows Section 9: thirty calendar days of continuing material default, followed by fourteen calendar days to remedy it after receipt of the final written notice, and then a separate termination notice.

The thirty-day period starts on the day immediately following the missed reasonable compliance deadline specified in writing and runs only while the material default continues to prevent lawful or reasonably verified performance. Any revised deadline expressly agreed in writing replaces the earlier deadline for this calculation.

The general provision for substantiated buyer breaches below does not bypass this procedure solely because non-cooperation has been established. Justified suspension may begin before these termination periods expire.

Following valid termination, BazaarParts may, but is not obliged to, resell goods which it owns and is lawfully entitled to dispose of, including through a commercially reasonable auction, subject to Section 9. The buyer will be notified of the intended resale.

The recoverable resale shortfall is calculated from the agreed goods price of the terminated part less the corresponding gross resale proceeds, excluding VAT and separately itemised carriage, insurance, duties and similar pass-through charges from both figures. Procurement cost is not deducted again.

Reasonable, necessary and documented external expenses directly caused by the default may be included where legally recoverable.

The agreed resale-organisation compensation is 10% of the resale price of the affected goods actually received by BazaarParts, excluding VAT and separately itemised carriage, insurance, customs duties and similar pass-through charges.

It becomes payable only after completion of a lawful resale and receipt of payment. It covers additional internal resale work reasonably undertaken because of the default, including preparing listings or auctions, communicating with prospective purchasers, administering the resale and coordinating payment and dispatch.

Internal work covered by the 10% compensation will not be charged separately. The compensation remains subject to mandatory rules on agreed compensation and judicial adjustment.

16.7 Substantiated false information or prohibited conduct

Materially false or misleading information, concealment of a relevant party or destination, falsified compliance documents, or prohibited diversion or re-export by the buyer constitutes a material breach.

Where independently substantiated, such a breach permits BazaarParts to suspend affected performance and terminate the affected order or part by written notice, to the extent permitted by applicable law.

Subject to applicable law, the buyer shall pay agreed compensation equal to 20% of the agreed goods price of the affected part, excluding VAT and separately itemised carriage, insurance and duties.

This addresses internal administrative and operational losses caused by that breach. It is not a regulatory fine and remains subject to mandatory rules on agreed compensation and judicial adjustment.

Reasonable, necessary and documented external costs directly caused by the breach may additionally be claimed only where legally recoverable and not already covered by the compensation or another recovery.

Unsupported suspicion, an unconfirmed name match, a subsequent change in restrictions or mere non-cooperation does not itself trigger the 20% compensation.

16.8 Settlement, restricted funds and continuing obligations

BazaarParts will provide an itemised settlement. Avoided costs, supplier refunds, resale proceeds and other recoveries relating to the same loss will be accounted for.

No loss, expense, work or compensation may be recovered twice under Sections 9 and 16 or otherwise. The 10% and 20% compensation shall not be added together to compensate the same loss or work.

Set-off is permitted only for amounts legally due and where allowed by applicable law. The undisputed refundable balance will not be withheld solely to secure agreement to disputed deductions. A planned resale does not itself authorise indefinite withholding.

Refunds follow the refund provisions. Credit towards another purchase requires the buyer’s express agreement.

Where freezing, blocking, reporting or restrictions on repayment apply, BazaarParts will comply. Restricted funds are not forfeited or appropriated as compensation. No refund, resale or set-off will occur where prohibited or without required authorisation. Information will be disclosed only to the extent legally permitted.

Obligations concerning accurate information, prohibited diversion and re-export continue after delivery to the extent relevant to subsequent dealings with the goods.

A request for compliance information does not automatically extend the order-acceptance period. Before that period expires, BazaarParts must accept or reject the offer, or obtain the buyer’s express written agreement to an extension ending on a specified date.

If the offer expires without acceptance, no purchase contract is formed. Any payment is dealt with under the refund provisions, subject to legally required restrictions on repayment.

After acceptance, BazaarParts may exercise the justified suspension rights in this section without obtaining fresh consent to each verification request. Such verification is not limited to the initial acceptance period.

BazaarParts will identify the affected performance, the information or authorisation reasonably required and the effect on the dispatch schedule, to the extent legally permitted. Any resulting extension must be limited to the delay reasonably caused by the justified suspension and its necessary operational consequences. It must not cover unrelated delay or BazaarParts’ independent breach.

The 20% compensation is not triggered by suspicion, an unconfirmed sanctions match, a change in applicable restrictions or mere non-cooperation.

The 10% resale-organisation compensation arises only after a lawful resale has been completed and its price received. It is not automatically added to the 20% compensation. No loss, expense or work may be compensated twice.

Any additional claim for external expenses must concern a distinct, legally recoverable expense and must not circumvent mandatory restrictions on increasing agreed compensation, including Article 340 of the applicable UAE Civil Transactions Law.

Before any deduction, BazaarParts will identify the contractual basis, supporting evidence, calculation, relevant credits and restrictions on set-off or repayment. Restricted funds may not be appropriated as compensation.
